1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Sangwan Infotech Private Limited ("Sangwan Infotech", "we", "us", or "our"), a company incorporated in India.
By accessing our website, submitting an enquiry, or entering into a Managed Service Agreement or project engagement with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
2. Services
Sangwan Infotech provides managed IT services, infrastructure consulting, cloud management, and related technical services as described on our website and as specified in individual Service Level Agreements (SLAs) or Statements of Work (SOWs) entered into with each client.
The specific scope, deliverables, timelines, and terms of each engagement are governed by the applicable SLA or SOW, which forms part of the overall agreement between you and Sangwan Infotech. In the event of any conflict between these Terms and a signed SLA or SOW, the SLA or SOW will prevail with respect to the subject matter of that engagement.
We reserve the right to modify, suspend, or discontinue any service with reasonable prior notice. We will not be liable for any modification, suspension, or discontinuation of services provided reasonable notice has been given.
3. Client Obligations
As a client engaging our services, you agree to:
- Provide accurate, complete, and up-to-date information necessary for us to deliver services effectively.
- Ensure that Sangwan Infotech engineers have timely and sufficient access to your systems, networks, and infrastructure as required to perform the agreed services.
- Designate an authorised technical contact responsible for coordinating with our team.
- Notify us promptly of any changes to your infrastructure, security policies, or business requirements that may affect service delivery.
- Maintain adequate backups of your data prior to and during any maintenance or change activity, unless backup management is explicitly included in your service agreement.
- Not use our services for any unlawful purpose or in violation of any applicable laws, regulations, or third-party rights.
- Keep your account credentials and access tokens confidential and notify us immediately of any suspected unauthorised access.
4. Payment Terms
Payment terms are as specified in your SLA or SOW. Unless otherwise agreed in writing:
- Managed service fees are invoiced monthly in advance.
- Project fees are invoiced per the milestone schedule agreed in the SOW.
- Invoices are due within 15 days of the invoice date.
- Late payments may attract interest at 1.5% per month on the outstanding balance.
- All fees are exclusive of applicable taxes (including GST), which will be added to invoices where required by law.
In the event of a genuine billing dispute, you must notify us in writing within 10 days of the invoice date. Disputed amounts must be identified specifically; undisputed portions remain due and payable.
5. Intellectual Property
All content on the Sangwan Infotech website, including text, graphics, logos, service descriptions, and software, is the property of Sangwan Infotech or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
Any tools, scripts, automation code, runbooks, or documentation developed by Sangwan Infotech as part of delivering services remain the intellectual property of Sangwan Infotech, unless explicitly transferred in writing as part of a specific project deliverable. Documentation specific to your environment (network diagrams, configuration records) is owned by you.
You retain ownership of all your data and content. You grant us a limited licence to access and process your data solely as necessary to deliver the agreed services.
6. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").
Confidential Information includes, but is not limited to, technical architecture details, network configurations, credentials, business plans, client lists, and pricing information.
Each party agrees to: (a) use Confidential Information only for the purpose of performing obligations under the service agreement; (b) disclose it only to employees or contractors who need to know it and who are bound by equivalent confidentiality obligations; and (c) protect it with at least the same degree of care used for its own confidential information.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Sangwan Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to loss of data, loss of revenue, loss of profits, or business interruption.
Our total aggregate liability to you for any claim arising from or related to the services shall not exceed the total fees paid by you to Sangwan Infotech in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
We make no warranty that services will be uninterrupted, error-free, or meet your specific requirements beyond what is expressly stated in the applicable SLA.
8. Indemnification
You agree to indemnify, defend, and hold harmless Sangwan Infotech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of our services in breach of applicable laws; (c) any third-party claims arising from content or data you provide to us; or (d) your negligence or wilful misconduct.
9. Termination
Either party may terminate a service engagement in accordance with the notice provisions set out in the applicable SLA or SOW. Unless otherwise stated, a minimum of 30 days' written notice is required to terminate a managed service engagement.
We may suspend or terminate your access to services immediately, without prior notice, if: (a) you breach these Terms or your SLA and fail to remedy the breach within 7 days of written notice; (b) you become insolvent or subject to insolvency proceedings; or (c) we are required to do so by law.
Upon termination, you remain liable for all fees incurred up to the effective date of termination. We will provide reasonable transition assistance and return your data and documentation within 30 days of termination.
10. Governing Law & Dispute Resolution
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. The parties submit to the exclusive jurisdiction of the courts of New Delhi, India.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue its legal remedies.
11. Changes to These Terms
We may update these Terms of Service from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page, and where appropriate, by email to the address registered against your account.
Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should cease using our services and notify us in writing.
